The vast majority of Americans are considered retail investors by the SEC. Due to their net worth and/or income they are not considered “sophisticated investors” according to the SEC and are therefore limited as to what investments they are able to access.

Who is an Accredited Investors?

The SEC has defined Accredited Investors as someone with a million dollars in net worth excluding their primary residence, an individual who earns more than $200,000 a year or and couple that earns more than $300,000 a year. 

According to the latest statistics there more than 131 million households in the United States, with only approximately only 15.7 million of those households having a net worth of more than $1,000,000 to qualify as an Accredited Investor. 

The SEC defines a Qualified Purchaser as someone with more than $5,000,000 in investable assets. There are approximately 2.75 million households of the 15.7 million listed above that qualify for this distinction.”
